Steven Wayland

Steven Wayland received his law degree, cum laude, from Harvard Law School in 1997. Steven is a 1993 graduate of Oklahoma State University, with honors. He also received a master's degree from the London School of Economics and Political Science in 1994. Prior to joining GGU in 2008, Steven worked at Debevoise & Plimpton LLP in New York. He is a member of the New York and Illinois bars. Steven’s broad corporate experience includes work on mergers and acquisitions, equity investments, licensing and other commercial agreements, joint ventures, equityholder arrangements and general corporate counseling. Steven worked for three years in the legal department of AT&T Latin America Corp., a telecommunications company operating in Argentina, Brazil, Chile, Colombia and Peru.

    • Acquisitions and dispositions of multiple health care businesses, including glucose management system, surgical instruments and medical device businesses


    • Experience on buyer-and seller-side in contested auctions, including leveraged buyout by private equity firm of retail company, including negotiating equityholders and co-investor arrangements, and subsequent sale to strategic buyer


    • Multiple other acquisitions and dispositions, including sale of restaurant management companies and roll-up and sale of restaurants to new joint venture with private equity firm; acquisition of U.S. mining and construction equipment distributor by Japanese trading company; acquisition of IT services company, etc.

    • Equity arrangements for various private equity firms in connection with consortium acquisitions, including equityholders agreements, registration rights agreement, consulting and indemnification agreements and related agreements


    • Joint venture and related commercial agreements for Latin American entertainment and media company in connection with the renegotiation of terms of movie service with multiple content providers


    • Multiple early-and later-stage venture capital financing investments, including representing educational services company in first-stage venture financing investment and pharmaceutical company in later-stage venture financing investments in start-up biotechnology companies



    Commercial Agreements and Company Counseling


    • Negotiation of dozens of commercial agreements, including transition services agreements, manufacturing agreements, research and development agreements, in-and out-license agreements and related agreements for pharmaceutical and medical device companies


    • Counseling companies, including apparel company, health care businesses, media and entertainment company and others, on various corporate and commercial matters
